About Us
Our Company – P W Corporate Secretarial (Pvt) Ltd (PWCS) is one of the leading companies in the Company Secretarial field, mainly serving companies listed on the Colombo Stock Exchange.
It was incorporated in 2008 by a team of professionals in Legal and Chartered Secretarial fields who also carried many years of experience and extensive knowledge as Company Secretaries / related Legal Advisory Services on the Laws applicable to Companies, Listing Rules, Best Practices on Corporate Governance, Laws and regulations applicable to Capital Market Operations in Sri Lanka and other applicable Statues.
At present our portfolio includes 27 Listed Companies (out of a total of 284 Companies listed on the Colombo Stock Exchange) and a large number of private and public companies.
The senior staff at PWCS consists of well experienced Attorneys-at-law and Chartered Secretaries with over 20 years of industry experience.
PWCS also manages Corporate Actions of Listed Companies including activities pertaining to capital infusions such as Initial Public Offerings and Offers for Sale. We also handle Takeovers and Mergers, Further Issues of Shares, Sub-division and Consolidation of shares, Corporate Restructures and De-listings etc., which encompass preparation of legal documentation and liaising with the Securities and Exchange Commission of Sri Lanka, Colombo Stock Exchange, Central Depository Systems (Pvt) Ltd and the Department of Foreign Exchange of the Central Bank of Sri Lanka.
The Senior Staff of PWCS who are experienced professionals are also skilled in training and PWCS provides a platform for many young professionals to enhance their knowledge in Company Secretarial Practice, Listing Rules, Governance and Compliance and Capital Market Operations, drafting relevant legal documents and other related areas.
Role of Company Secretary
A Company Secretary with legal knowledge plays a pivotal role in a company and serves as the primary point of contact for effective governance and compliance and secretarial tasks and providing administrative support to the Board of Directors.
Modern Company Secretaries also act as a strategic advisor on governance, risk management and sustainability issues
Position Summary & How to Apply
We at PWCS are looking for young energetic individuals who have gained qualifications in the field of Law preference will be given to those who have sat for the finals in the LLB Degree Programme to be recruited as Trainee Company Secretaries.
Training will be provided on the job and an allowance will be paid during the period of training. On confirmation of service, you will be paid a remuneration commensurate with the market rates as applicable to comparable positions.

Job Purpose:
We're looking for a highly skilled and motivated professional to be our Assistant Manager – Group Regulatory. The successful candidate will ensure compliance, drive economic analysis, and act as the key liaison between the Group and regulatory authorities, ensuring the Group is compliant with applicable regulations, licenses, and agreements executed with regulatory bodies.
The Job:
- Market & Economic Analysis: Perform detailed market assessments, analyzing competitive conditions (Mobile, Fixed, Broadband, TV and Digital Services), and evaluating the economic impact of regulatory changes (e.g., spectrum auctions, licensing terms) on our business model and investment decisions.
- Strategic Advocacy: Prepare robust economic arguments and evidence for regulatory proceedings, disputes, and public consultations. Conduct economic analysis of proposed tariffs and promotions to assess compliance and anti-competitive risks.
- Regulatory Monitoring & Advice: Keep the Dialog Group abreast of local and international regulatory developments/trends. Interpret regulations, license conditions, and directives to provide clear, risk-based advice to internal stakeholders and management.
- Compliance & Administration: Ensure the timely renewal of licenses and payments of regulatory fees. Manage the end-to-end agreement execution process, including Board and BOI approvals, post-execution formalities, and maintaining due records.
- Stakeholder Engagement: Act as a representative/liaison with key regulatory bodies, maintaining a good working rapport. Attend, follow through, and resolve regulatory issues, including participating in litigation matters.
Entry Requirements
The Person:
- Education: A Degree in Economics, Finance, Engineering, or Law is required.
- Professional qualifications in finance, economics, or law are highly desirable.
- Experience: 3–5 years of related work experience.
- Expertise:
- In-depth understanding of the principles and application of economic regulations, directives, guidelines and codes
- Knowledge of precedents, legislation, codes, and regulations applicable to the Telecommunications Industry and Digital Services
- Strong understanding of key economic concepts and their applicability to telecom/digital services regulation and policy issues in the telecom/tech sector.
- Skills: Proven excellent negotiation skills and experience in drafting policy and papers.
- Ability to understand evolving macroeconomic perspectives.

JOB ROLE
We are seeking an energetic, innovative,
dynamic, and self-motivated individual who is
confident in practicing tasks related to Legal and
Company Secretarial work to join our team on 1st April 2026.
PREREQUISITE
• Should be able to commence employment on 1st April 2026.
• Should be an attorney-at-law/ LLB degree holder.
• Should have attended a reputable university and/or
institution and possess an excellent academic
record.
• Should mention academic results for A levels, O Levels,
LLB degree and Attorneys at Law on the CV.
• Minimum three (03) years’ experience in respective
area at a law firm or within the corporate sector.
• Competent in MS OFFICE functions
• Familiarity with e-ROC system (and generating
company secretarial forms).
• Excellent written and spoken skills in both English
and Sinhala languages.
• Should have 10/10 English language proficiency to
ensure that drafting of agreements and resolutions can be carried out.
• Ideally should be a Notary Public, Registered Company Secretary
and Commissioner of Oaths.
• Ability to maintain a high degree of confidentiality.
• Ability to work under minimum supervision.
• Be self-driven, target oriented and passionate
towards pursing a legal career.
RESPONSIBILITIES
• Attending to all formalities in relation to Board of
Directors meetings.
• Draft and circulate Board Resolutions and Shareholder
Resolutions as per the company requirements.
• Prepare and file necessary forms at Registrar of
Companies as per the statutory and compliance
requirements.
• Carry out tasks related to new company incorporations.
• Maintain statutory registers and records.
• Perform additional duties in accordance with the current
role as and when requested by management.
• Draft and review of standard form Agreements in the
English language (including Non-Disclosure
Agreements, Service Agreements, Shipping Agency
Agreements, Airline Agency Agreements, Sale &
Purchase Agreements. JV agreements).
• Review of pleadings in litigation matters in both English
and Sinhala languages.
• Prepare Briefs to Counsel in relation to new and ongoing
Litigation and Arbitration matters.
• Document Management –recording all resolutions and
agreements in an organized manner during the process
of generating legal drafts to stakeholders prior to
execution.
• Assist with drafting Company Policy Documents,
Company Guidelines and Company Procedures.
• Carry out research on prevailing domestic and
international laws, regulations and amendments
pertaining to the operations of the company.
